Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Fusion Flow (“Fusion Flow,” “we,” “us,” or “our”), a Texas-based provider of AI automation and workflow services. These Terms govern your access to and use of our website, custom AI agents, automations, integrations, and related services (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Services.

Terms & Conditions - the basics

Fusion Flow provides custom AI-powered automation solutions, workflow design, integration services, consulting, and related support primarily for small and medium-sized businesses (SMBs). Services may include development of custom AI agents, process automation, data integrations, and ongoing optimization and maintenance.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

User Responsibilities and Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. Prohibited activities include:

Uploading, transmitting, or processing illegal, harmful, infringing, or offensive content.
Attempting to reverse engineer, decompile, or gain unauthorized access to our systems or AI models.
Using the Services to compete directly with Fusion Flow or for high-risk activities without prior written consent.
Interfering with the Services or imposing an unreasonable load on our infrastructure.

You are solely responsible for your data, inputs, configurations, and outputs generated through the Services (“Client Data” and “Outputs”).

Intellectual Property

Our IP: Fusion Flow and its licensors retain all right, title, and interest in the Services, underlying technology, AI models, platforms, documentation, and any improvements or derivatives (collectively, “Fusion Flow IP”). You receive a limited, non-exclusive, non-transferable, revocable license to use the Services during the term of your subscription or engagement, solely for your internal business purposes.
Client Data and Outputs: You retain ownership of your Client Data. You grant us a limited, non-exclusive, royalty-free license to use, process, and display Client Data solely as necessary to provide, improve, and support the Services. Outputs generated by the Services are generally owned by you, subject to any underlying third-party rights in the models or tools used. We do not claim ownership of Outputs, but you grant us rights to use de-identified or aggregated data for analytics and service improvement.
Feedback: Any suggestions or feedback you provide become our property, and we may use them without compensation or attribution.

We do not use Client Data to train foundational AI models unless explicitly agreed in a separate written contract.

Payments and Billing

Pricing, payment terms, and subscription details are specified in your proposal or business agreement. All fees are non-refundable except as expressly stated.
We may charge late fees for overdue payments and suspend Services for non-payment.
You are responsible for all taxes (excluding our income taxes). We may modify pricing, and tailor pricing without notice.

Term and Termination

These Terms remain in effect while you use the Services. You may terminate by closing your account or providing written notice. We may terminate or suspend your access for breach of these Terms, non-payment, or other reasons with or without notice.

Upon termination: (i) your right to use the Services ceases; (ii) we may delete Client Data after a reasonable period (subject to any data retention obligations in a separate agreement or Privacy Policy); and (iii) surviving provisions (e.g., IP, liability, governing law) continue.

Disclaimers and Warranties

The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted operation, error-free performance, specific results, or that Outputs will be accurate, complete, or suitable for your needs. AI outputs may contain inaccuracies, hallucinations, or biases.

No professional advice: Outputs and Services do not constitute legal, financial, or other professional advice.

Limitation of Liability

To the maximum extent permitted by law, Fusion Flow’s total aggregate liability shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages (including lost profits, data loss, or business interruption), even if advised of the possibility.

Indemnification

You agree to indemnify, defend, and hold harmless Fusion Flow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (i) your use of the Services; (ii) your Client Data or Outputs; (iii) your violation of these Terms or applicable laws; or (iv) infringement of third-party rights.

Data Privacy

Your privacy is governed by our Privacy Policy, which is incorporated herein by reference. For enterprise clients, a separate Data Processing Addendum may apply.

Changes to These Terms

We may update these Terms periodically. Material changes will be notified via email, in-app notice, or website posting. Continued use after changes constitutes acceptance. We encourage you to review the Terms regularly.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You agree to submit to the personal jurisdiction of such courts.

Class Action Waiver: To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against us.

Miscellaneous

Severability: If any provision is held invalid, the remainder remains in effect.
Entire Agreement: These Terms (together with any Order Form or separate agreement) constitute the entire understanding.
No Waiver: Failure to enforce a right does not waive it.
Force Majeure: We are not liable for delays due to events beyond our reasonable control.
Assignment: You may not assign these Terms without our consent; we may assign in connection with a business transfer.
